Biography
Bruce practices in the areas of corporate law and healthcare law. His corporate practice focuses on all types of business and real estate transactions, mergers and acquisitions, business organizations and contract review. His healthcare practice includes business transactions by and with healthcare providers, including hospitals, managed care organizations, medical organizations, practice management companies, ancillary facilities and certified non-profit health organizations. He routinely addresses the federal “fraud and abuse” laws and other regulatory and compliance issues in healthcare.
Bruce participates in litigation management for clients and has successfully handled mediation and direct settlement negotiations of numerous controversies, including employment, contract, healthcare, partnership and shareholder disputes. He also routinely advises individual clients in connection with business succession planning and business buy-out and redemption agreements.
Bruce is married to Vivienne Spy, a concert pianist in San Antonio, Texas, and Boulder, Colorado. In his spare time, he enjoys travel, art, music and any sport that involves a racquet.

- Represented the seller in the sale of a multistate hotel portfolio to a national firm
- Represented an automobile dealer in sale of the dealership and franchise
- Represented a hospital system in the divestment of non-core business and assets
- Represented a manufacturing company in the aerospace industry in a sale to an international company (CFIUS transaction)
- Served as legal advisor to numerous primary care and sub-specialty practices in sales of their practices to hospital systems, national medical practices, and practice management companies
- Served as lead counsel in sale of medical device company to a multinational corporation
- Represented investors in the syndication, construction, development, and sale of a specialty hospital
- Served as counsel to a bank holding company in successfully defending against a hostile takeover attempt and selling to a “white knight” purchaser
- Represented regional accounting firm in a merger with a national firm
- Represented a hospital system in creating a “first of its kind” partnership with a physician group for the provision of ancillary services
